1. Definition and explanation

1.1 Unless otherwise expressly defined in this Agreement or therein, the following terms used in this Agreement (including these General Terms and Conditions) or in any document referenced in this Agreement shall have the following meanings:

"Agreement" means the Sexfriend Merchant Registration Form to which these General Terms and Conditions are attached, including any schedules, appendices or other attachments attached to any of the foregoing, including all amendments, additions and changes thereto;

"Applicable Law" means any applicable law, statute, regulation, order, judgment or guidance passed or promulgated by the Congress, Government or any competent court or authority now or in the future existing in the United States;

"Business day" means any day other than Saturday, Sunday or a public holiday in New York, United States;

“Contribution” has the meaning given to it in clause 6 of these General Terms and Conditions;

"Customer account" refers to the customer's registered account on the Sexfriend platform;

"Merchant Details" means the Merchant details specified in the Agreement;

"Merchant Wallet" refers to the funding account held by the Merchant on Sexfriend for storing transaction funds;

"Net Sales" means the total price of the Products in a transaction, exclusive of any taxes (including but not limited to any sales tax and service tax): (a) after deducting any discounts provided by merchants on the Sexfriend Platform; (b) not Including merchant service fees, merchant surcharges and other fees (if any and applicable) recorded in the system of Sexfriend or its affiliates;

"Order" refers to the products ordered by the Customer on the Sexfriend Platform;

“Parties” refers to Sexfriend and the Merchant collectively, and “Party” refers to one of them;

"Product" refers to the merchandise sold by the Merchant through Sexfriend;

“Service Fee” has the meaning given to it in clause 7.1 of these General Terms and Conditions;

"Sexfriend Platform" means the e-commerce platform through the mobile application or website operated by Sexfriend (www.Sexfriend.life);

"Sexfriend Platform" refers to the ordering, shipping and delivery platform operated by Sexfriend on the Sexfriend Platform and providing Sexfriend products;

"Sexfriend Service" means the merchandise ordering and delivery platform service where merchants can sell their products and customers can order products through the Sexfriend Platform, and delivery can be made by any other method determined by the shipping company and courier company;

"Transaction" means any transaction in which a Customer orders and pays for Products from a Merchant through Sexfriend;

"Transaction funds" refers to the total amount paid by customers through the Sexfriend services on the Sexfriend platform.

1.2 In the Agreement (including these General Terms and Conditions):

(a) A reference to a statutory provision shall include that provision and any regulations made under that provision as modified or re-enacted from time to time, whether before or after the date of this Agreement, and shall also include any past statutory provisions or regulations (as modified from time to time or re-enacted) that provision or regulation directly or indirectly supersedes;

(b) references to "writing" or "in writing" include any visible means of reproduction;

(c) references to “including” shall be construed to mean “including without limitation”;

(d) a reference to a “clause” or “schedule” means a clause or schedule to these General Terms and Conditions (unless the context otherwise requires); and

(e) Unless the context otherwise requires, words denoting the singular shall include the plural and vice versa and words denoting a particular gender shall include the other gender (masculine, feminine or neuter).

1.3 The headings in this Agreement (including these General Terms and Conditions) are inserted for convenience only and shall not affect the interpretation of this Agreement.

The Agreement to which these General Terms and Conditions are attached contains the terms on which the Sexfriend Services are provided (as may be amended from time to time).
